General terms of use

1. 1. Preamble

   The Conversalia service, which is the subject of these general terms of use (the “Terms”), relies on LLM models hosted in Switzerland by Infomaniak. At the express request of the Client, a Chatbot may rely on other LLM models, in particular those developed by OpenAI and provided via Microsoft Azure or directly by OpenAI. The data processed by that Chatbot may then be processed outside Switzerland.

   These Terms govern the use of the Conversalia service and of the chatbots offered. These terms may be amended at any time. Any update will be communicated to the Client as soon as possible.

   By using or integrating a Conversalia chatbot on its platform, the Client and the User acknowledge that they have read these Terms and accept them in full.

2. 2. Definitions

   Chatbot

   Conversational solution developed using LLM technologies, hosted in Switzerland by Infomaniak or, at the express request of the Client, by another provider, designed and made available by Neuralia on the Client’s platform.

   Client

   Any natural or legal person integrating the Chatbot on its platform and making it available to Users.

   Neuralia

   Neuralia Sàrl, a company based in Fully, publisher of the Conversalia platform.

   Conversalia

   Chatbot platform developed and operated by Neuralia.

   Services

   All the information and features provided by the Chatbot.

   User

   Any natural person interacting with the Chatbot.

3. 3. Use of the Chatbot

   The Chatbots of the Conversalia platform rely on artificial intelligence technologies and LLM models. They can be adapted to the Client’s specific data.

   The Services and advice provided by the Chatbot are for information purposes only and in no way replace professional advice. The content generated may be incorrect, and Neuralia accepts no liability for the accuracy of the information provided. It is strongly recommended to check the information obtained directly with the providers concerned, in particular with regard to opening hours, availability of services, access conditions, prices or accommodation options in the region.

   Any use of the Chatbot in breach of the legal provisions in force is strictly prohibited. In particular, it is forbidden to attempt to interfere with the Chatbot or the Services, whether through actions likely to compromise, alter, damage or overload the platform.

   The User undertakes not to cause any harm to Neuralia through its use of the Services, in any way whatsoever.

4. 4. Third-party content

   Content from third-party sources or websites is provided for information purposes only. Access to and use of these services or websites are subject to the terms of use of their respective publishers.

   Under no circumstances may Neuralia be held liable for displayed content originating from third parties, nor for hyperlinks redirecting to such content. Likewise, Neuralia accepts no liability for third-party information relayed and made available to Users via the Conversalia platform.

5. 5. Liability

   The Services provided by the Chatbot are for guidance purposes only and can in no case replace the advice of a professional. Neuralia and the Client accept no liability for the use of the Chatbot, in particular with regard to the content of the Services provided or decisions taken on the basis of the information generated.

   No warranty is given as to the accuracy, completeness, truthfulness or currency of the information delivered by the Chatbot.

   Although the Chatbot and its Services are in principle accessible to Clients and Users, Neuralia does not guarantee their continuous availability. Neuralia cannot be held liable for any interruption of access, overload of the Chatbot or the network, closure of the service, or any damage that may result therefrom.

   Interruptions or suspensions of the Services may occur for technical or maintenance reasons, without any compensation being due. Finally, Neuralia cannot be held liable in the event of force majeure.

6. 6. Intellectual property

   The Service (platform), as well as the chatbots and all the code and databases used by the service, are the exclusive property of Neuralia. Any use, reproduction, copying or making available of the Chatbot or the Services by a third party is strictly prohibited without Neuralia’s prior authorisation.

   The data provided by the Client to customise the Chatbot, including texts, documents and any other content, remain the exclusive property of the Client. Neuralia undertakes not to use them for any purpose other than performing the Services agreed with the Client.

   The conversations generated by the Chatbot during its use are also considered to belong to the Client. However, by using the Chatbot, the Client agrees that Neuralia may analyse and use these conversations in order to improve the quality of the Chatbot and of the associated Services.

   Upon termination of the service, the Client may request the complete deletion of all conversations, as well as of the documents and data provided to customise the Chatbot. This request must be made in writing and will be processed within a reasonable time. In the absence of an explicit request for deletion, Neuralia may retain anonymised data for the purpose of improving its services, in compliance with the applicable data protection laws.

7. 7. Legal notices

   Exchanges with the Chatbot may be collected in order to optimise its operation and improve the Services provided. By using the Chatbot, the User consents to the collection and processing of the data they transmit.

   In addition to these data, the Chatbot may process certain technical information, in particular:

   • IP address.
   • Date and time of the request.
   • Content of the requests.
   • Origin of the request (platform used to access the Service).

   Unless otherwise specifically agreed with Neuralia, the User and the Client are subject to these Terms. Should any clause of these Terms be held null, unenforceable or invalid, the remaining provisions shall remain fully applicable. Ineffective or invalid clauses shall be replaced by legally valid provisions whose spirit comes as close as possible to the original provisions.

   Neuralia reserves the right to modify, unilaterally and without notice, the third-party content provided by the Chatbot, as well as a User’s access to the Chatbot.

8. 8. Applicable law and place of jurisdiction

   These Terms are governed exclusively by Swiss law. Any dispute relating to their application or interpretation shall fall under the exclusive jurisdiction of Sion.
